1. About ListingSignals

ListingSignals ("we," "us," "our") is a database reactivation and nurture service operated by Benny Maxwell. We provide done-for-you outreach campaigns for real estate agents, including SMS, email, and voicemail sequences sent to their existing contacts on their behalf.

By accessing our website at listingsignals.com or purchasing any of our services, you ("Client," "you," "your") agree to be bound by these Terms of Service and our Privacy Policy.

2. Our Services

We offer three service tiers:

• ACTIVATE — A one-time 60-day database reactivation campaign. $997, paid upfront. No ongoing commitment.
• NURTURE — An ongoing monthly database nurture program. $497/month. Billed monthly. Cancel anytime with 30 days written notice.
• DOMINATE — A premium market dominance program. Pricing varies by territory. Requires a 6-month minimum commitment. Available by application only.

Service details, deliverables, and timelines for each tier are described on our website and in your onboarding materials. We reserve the right to modify service offerings with reasonable notice to active clients.

3. Payment Terms

ACTIVATE

Payment of $997 is due in full before services begin. This is a one-time charge with no refund after your campaign has launched (see Section 6 for refund policy).

NURTURE

Your first month's payment is due before services begin. Subsequent monthly charges are billed automatically on the same date each month using the payment method on file. You may cancel with 30 days written notice to [email protected]. No partial month refunds are issued.

DOMINATE

A setup fee is due before services begin. Monthly fees are billed automatically thereafter. DOMINATE requires a 6-month minimum commitment. Cancellation before the 6-month term is complete may result in an early termination fee equal to the remaining months of the committed term.

Late Payments

If a payment fails, we will notify you and attempt to collect within 7 days. If payment is not received within 14 days of the due date, we reserve the right to pause your campaign until payment is made. Campaigns paused due to non-payment do not receive refunds or campaign extensions.

4. Your Responsibilities

By using our services, you represent and warrant that:

• You are a licensed real estate professional in good standing in your state
• You have a legitimate, pre-existing relationship with the contacts in your database
• Your contacts have not previously opted out of communications from you
• You have the legal right to provide us with your contact database for outreach purposes
• You will not provide us with purchased, scraped, or otherwise illegally obtained contact lists
• You will respond promptly to engaged leads generated by your campaign
• You will provide accurate information during onboarding
• You will complete the onboarding form within 7 days of payment to avoid campaign delays

5. Compliance with Laws

Our campaigns are designed to comply with federal and state laws governing commercial communications, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and applicable state regulations.

All SMS messages include opt-out instructions. All email messages include unsubscribe options. We honor opt-out requests immediately and maintain DNC (Do Not Contact) lists for all clients.

You agree not to use our services in any way that violates applicable laws. You agree to promptly notify us if any of your contacts raise legal or compliance concerns regarding our outreach.

6. Refund Policy

ACTIVATE

If you request a cancellation before your campaign has launched (before we have imported your database and activated your workflow), you are entitled to a full refund. Once your campaign is live, no refunds are issued — we have completed significant setup work and have begun actively delivering your campaign.

If a campaign completes its full 60 days and you experienced zero engagement of any kind (zero email opens, zero SMS replies, zero voicemail callbacks), contact us at [email protected] within 14 days of campaign completion. We will review your campaign data and work with you in good faith to determine a fair resolution, which may include a credit toward NURTURE services.

NURTURE

Monthly fees are non-refundable. You may cancel at any time with 30 days written notice and will not be charged after your final month.

DOMINATE

Setup fees are non-refundable once onboarding has begun. Monthly fees are non-refundable. Early termination fees apply as described in Section 3.

7. Results Disclaimer

We make no guarantee of specific results. The number of leads, conversations, or deals generated by a campaign depends on many factors outside our control, including the size and quality of your database, your responsiveness to engaged leads, your market conditions, and your ability to convert conversations into transactions.

Any case studies, testimonials, or examples of results shared on our website represent real experiences but are not guarantees that you will achieve the same results. Your results will vary.

We commit to delivering the described campaign touchpoints as specified in our service documentation. We do not commit to any specific number of leads, replies, or deals.

8. Intellectual Property

The campaign messages, workflows, methodologies, and systems we create are the intellectual property of ListingSignals. Campaign content we create on your behalf is licensed to you for use during your active service period.

You retain full ownership of your database and contact information. We claim no ownership over any data you provide to us.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. We will not share your database, client information, or business details with any third parties except as required to deliver the service (e.g., our campaign platform provider).

You agree not to reverse-engineer, resell, or replicate our campaign systems, messaging sequences, or workflows.

10. Limitation of Liability

To the fullest extent permitted by law, ListingSignals and Benny Maxwell shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including lost profits, lost commissions, or data loss.

Our total liability to you for any claim arising from our services shall not exceed the total amount you paid us in the 3 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless ListingSignals and Benny Maxwell from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms, your use of our services in a manner inconsistent with applicable law, or any claim by your contacts arising from our outreach on your behalf.

12. Termination

Either party may terminate services with written notice as described in Section 3. We reserve the right to immediately terminate services without refund if:

• You provide false information during onboarding
• You submit a contact list that violates applicable laws
• You use our services for any illegal or unethical purpose
• You fail to pay fees when due after a 14-day cure period

13. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of Wood County, Ohio, or through binding arbitration at our election.

14. Changes to These Terms

We may update these Terms from time to time. We will notify active clients by email at least 14 days before any material changes take effect. Continued use of our services after that date constitutes acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with our Privacy Policy and any service agreement or proposal provided to you, constitute the entire agreement between you and ListingSignals regarding our services and supersede any prior agreements or understandings.
